1. Agreement to Terms

By accessing or using the services provided by NexSols Solutions ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services Description

NexSols Solutions provides digital agency services including but not limited to:

• Web Development and Design
• Mobile Application Development
• Digital Marketing and SEO
• E-commerce Solutions
• UI/UX Design
• Brand Identity and Graphic Design
• Cloud Solutions and Hosting
• IT Consulting and Support

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information required for project execution
• Respond to communications and requests for feedback in a timely manner
• Provide necessary content, assets, and access credentials as needed
• Review and approve deliverables within agreed timeframes
• Make payments according to the agreed payment schedule
• Comply with all applicable laws and regulations

4. Payment Terms

Payment terms are as follows:

• A deposit (typically 50%) is required before project commencement
• Remaining balance is due upon project completion or as per the agreed milestone schedule
• All prices are quoted in PKR unless otherwise specified
• Late payments may incur additional charges and project delays
• We reserve the right to suspend services for overdue accounts

5. Intellectual Property

Client Materials: You retain ownership of all content, data, and materials you provide to us.

Deliverables: Upon full payment, you will own the final deliverables created specifically for your project. However, we retain the right to:

• Use general techniques, knowledge, and skills acquired during the project
• Showcase the completed work in our portfolio (unless otherwise agreed)
• Retain ownership of pre-existing code, frameworks, and tools used in development

6. Project Timeline and Revisions

• Project timelines are estimates and may vary based on scope and client responsiveness
• Each project includes a specified number of revision rounds
• Additional revisions beyond the agreed scope may incur extra charges
• Delays caused by client-side factors may extend the project timeline

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the project. This includes but is not limited to business strategies, technical specifications, and client data. This obligation survives the termination of our business relationship.

8. Warranties and Disclaimers

We warrant that:

• Services will be performed professionally and in accordance with industry standards
• Deliverables will substantially conform to agreed specifications

We do not warrant:

• Specific business outcomes, rankings, or results from our services
• Uninterrupted or error-free operation of websites or applications
• Compatibility with all third-party systems or platforms

9. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the amount paid by you for the specific service in question
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for losses due to third-party services or client-provided content

10. Termination

Either party may terminate the agreement:

• With 30 days written notice for ongoing services
• Immediately if the other party breaches these Terms

Upon termination:

• Client is responsible for payment of all work completed to date
• Any deposits paid are non-refundable unless otherwise agreed
• Both parties will return or destroy confidential materials

11. Indemnification

You agree to indemnify and hold harmless NexSols Solutions from any claims, damages, or expenses arising from:

• Your use of our services
• Content or materials you provide
• Your violation of these Terms or applicable laws

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Lahore, Pakistan.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any changes constitutes acceptance of the updated Terms.
